Article 1: Terms
1.1 This User Agreement ("Agreement") is entered into between you ("User" or "you") and StoneX Platform ("StoneX," "Platform," "we," "us," or "our"). This Agreement governs your access to and use of the Platform and all related services.
1.2 By accessing or using StoneX Platform, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Platform.
1.3 StoneX reserves the right to modify or update this Agreement at any time. Any changes will be effective upon posting on the Platform or through other reasonable notification methods. Continued use of the Platform constitutes acceptance of the revised Agreement.
1.4 You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian.
Article 2: Account Registration and Security
2.1 To access certain features, you may be required to register an account. You agree to provide accurate, complete, and up-to-date information and to maintain its accuracy.
2.2 You are solely responsible for safeguarding your account credentials and for all activities conducted under your account. You must notify StoneX immediately of any unauthorized access or security breach.
2.3 StoneX shall not be liable for any loss or damage resulting from your failure to comply with account security obligations.
2.4 StoneX reserves the right to suspend, restrict, or terminate your account at its sole discretion, with or without prior notice.
Article 3: Use of the Platform
3.1 You agree to use the Platform in compliance with all applicable laws and regulations.
3.2 You agree not to:
- (a) Violate any applicable laws or regulations;
- (b) Infringe upon intellectual property or other rights of any party;
- (c) Engage in fraudulent, deceptive, or misleading activities;
- (d) Transmit viruses, malware, or harmful code;
- (e) Attempt unauthorized access to systems or accounts;
- (f) Disrupt or interfere with Platform operations;
- (g) Collect or misuse personal data of other users without consent.
3.3 The Platform may include links to third-party websites or services. StoneX does not control and is not responsible for any third-party content, policies, or practices.
Article 4: Intellectual Property Rights
4.1 All content on StoneX Platform, including but not limited to text, graphics, logos, software, and multimedia materials, is owned by StoneX or its licensors and is protected by applicable intellectual property laws.
4.2 You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.
Article 5: Disclaimers and Limitation of Liability
5.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
5.2 StoneX does not guarantee that the Platform will be uninterrupted, secure, or error-free.
5.3 To the maximum extent permitted by law, StoneX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue
- Loss of data or goodwill
- Service interruptions
arising from your use of or inability to use the Platform.
Article 6: Indemnification
You agree to indemnify, defend, and hold harmless StoneX, its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:
- Your use of the Platform
- Your violation of this Agreement
- Your infringement of any rights of a third party
Article 7: Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.
Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Irvine, California, United States, unless otherwise required by applicable law.
Article 8: Termination
8.1 StoneX may suspend or terminate your access to the Platform at any time, without prior notice, if you violate this Agreement.
8.2 Upon termination, your right to use the Platform will immediately cease.
8.3 Provisions that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, disclaimers, indemnification, and liability limitations.
Article 9: Miscellaneous
9.1 Entire Agreement
This Agreement constitutes the entire understanding between you and StoneX regarding the Platform.
9.2 Severability
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force.
9.3 Assignment
You may not assign your rights without prior written consent. StoneX may assign its rights freely.

Section headings are for convenience only and do not affect interpretation.
